1. Acceptance of Terms
By accessing and using the services provided by ImaniStack ("we", "our", or "us"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Description of Services
ImaniStack provides web and mobile application development, UI/UX design, backend infrastructure, and DevOps services as described on our website. The specific deliverables, timelines, and costs will be outlined in a separate agreement or statement of work for each project.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for project completion
- Review and provide feedback on deliverables in a timely manner
- Make payments according to the agreed-upon schedule
- Comply with all applicable laws and regulations
- Obtain any necessary permissions or licenses for materials you provide to us
4. Intellectual Property Rights
Upon full payment of all invoices, you will own the rights to the final deliverables created specifically for your project, except for:
- Third-party materials (such as open-source libraries or stock images)
- Our pre-existing tools, methodologies, and proprietary technologies
- General knowledge, skills, and experience acquired during the project
We reserve the right to display and link to your completed project as part of our portfolio unless otherwise specified in writing.
5. Payment Terms
Payment terms will be specified in your project agreement. Unless otherwise stated, we typically require a deposit before beginning work, with the remaining balance due upon completion or at agreed-upon milestones. Late payments may incur additional fees.
6. Project Delays and Revisions
We strive to complete all projects by the agreed-upon deadlines. However, delays caused by client-side factors (such as late feedback or additional revision requests beyond the scope of the original agreement) may affect the timeline and potentially incur additional costs.
7. Limitation of Liability
To the maximum extent permitted by law, ImaniStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services.
8. Termination
Either party may terminate the service agreement with written notice if the other party materially breaches these terms and fails to cure such breach within 30 days. Upon termination, you agree to pay for all work completed up to the termination date.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law principles.
10. Changes to These Terms
We reserve the right to modify these Terms of Service at any time. We will notify clients of significant changes by posting a notice on our website or sending an email.
